Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications (collectively, the "Services") provided by Ossum Inc. ("Ossum," "we," "us," or "our"), a Virginia corporation.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Account Registration

To access certain features of the Services, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

3. Services Description

Ossum provides software tools and services for domain-driven design and software specification, including but not limited to:

  • RIDDL Compiler - An open-source compiler for the Reactive Interface to Domain Definition Language
  • Synapify - A visual editor for creating and managing RIDDL domain models
  • MCP Server - AI integration services via the Model Context Protocol
  • Related hosted services - Validation, simulation, documentation generation, and code generation

4. Subscription and Billing

4.1 Free Trial

We offer a 7-day free trial for new users. During the trial period, you may access paid features at no cost. At the end of the trial, you must subscribe to a paid plan to continue accessing paid features.

4.2 Subscription Plans

Paid subscriptions are billed monthly or annually, as selected at the time of purchase. Subscription fees are charged in advance for each billing period.

4.3 Cancellation and Downgrade

You may cancel or downgrade your subscription at any time. When you do so, your current plan's features will remain active through the end of the billing period that has already been paid. No refund, credit, or pro-rated reimbursement will be issued for the remaining unused portion of that billing period. The new plan's pricing (or no charge, if cancelling) takes effect at the start of the next billing cycle.

4.4 Refunds for Ossum-Initiated Termination

If Ossum terminates your account for reasons other than a violation of these Terms (for example, discontinuation of a Service), you are entitled to a pro-rated refund for the unused portion of your current billing period. To request a refund, contact us at legal@ossuminc.com.

4.5 Price Changes

We may change our subscription prices from time to time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

5. Intellectual Property

5.1 Your Content

You retain full ownership of all RIDDL models, specifications, and other content that you create or upload to the Services ("Your Content"). This includes content generated by AI features at your direction. You grant Ossum a limited license to host, store, and process Your Content solely to provide the Services to you.

5.2 Ossum Templates and Materials

Templates, example models, documentation, and other materials provided by Ossum ("Ossum Materials") remain the property of Ossum Inc. You are granted a non-exclusive license to use Ossum Materials within the Services and to incorporate them into your own projects.

5.3 Open Source Components

Certain components of our Services, including the RIDDL compiler, are open source software governed by their respective licenses (e.g., Apache 2.0 ). Your use of open source components is subject to those licenses.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of others
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the Services or servers
  • Use the Services for any illegal or unauthorized purpose
  • Reverse engineer, decompile, or disassemble the Services (except as permitted by law)
  • Resell or redistribute the Services without authorization

7. AI-Powered Features

Our Services include AI-powered features that use third-party AI providers (such as Anthropic's Claude). When you use these features:

  • Your prompts and content may be processed by third-party AI services
  • AI-generated output is provided "as is" and should be reviewed before use
  • You are responsible for the use of AI-generated content in your projects
  • AI features are subject to the terms and limitations of our AI providers

8. Service Availability

8.1 General Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Enterprise SLA

Enterprise customers may be eligible for Service Level Agreements (SLAs) with specific uptime guarantees and support commitments. Contact us for Enterprise pricing and SLA details.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account settings in the Services. If you have an active paid subscription, your access to paid features will continue through the end of the current billing period as described in Section 4.3. Upon the expiration of that period (or immediately if you are on a free plan), your right to use paid features of the Services will cease.

9.2 Termination by Ossum

We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Services, other users, or Ossum.

9.3 Effect of Termination

Upon termination, you may request export of Your Content for up to 30 days. After that period, we may delete Your Content in accordance with our data retention policies.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OSSUM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OSSUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Services
  • Any unauthorized access to or use of our servers or your data
  • Any interruption or cessation of the Services
  • Any bugs, viruses, or other harmful code transmitted through the Services
  • Any errors or omissions in any content

IN NO EVENT SHALL OSSUM'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO OSSUM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at legal@ossuminc.com and attempt to resolve any dispute informally for at least 30 days.

12.2 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Norfolk, Virginia, and judgment on the award may be entered in any court having jurisdiction.

12.3 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

12.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Ossum regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction.
